EXHIBITOR AGREEMENT
(Litigation-Grade Commercial Participation, Payment & Operations Contract)
This Agreement is made on the date of execution between:
1. LEGAL NATURE AND FORMATION OF CONTRACT
1.1 Binding Nature
This Agreement constitutes a legally binding commercial contract. The Exhibitor acknowledges that contractual obligations arise upon the earliest of:
(a) execution of this Agreement;
(b) issuance of invoice by the Organiser;
(c) partial or full payment;
(d) confirmation of booth allocation; or
(e) any participation, entry, access, set-up, or operation at the Event.
1.2 Acceptance by Conduct
The Exhibitor irrevocably agrees that participation, occupation of booth space, or engagement in Event operations shall constitute conclusive acceptance of all contractual terms, whether or not signed.
1.3 Estoppel and Waiver
The Exhibitor shall be estopped from denying enforceability of this Agreement on the basis of:

2.1 This Agreement constitutes the entire contract between the Parties and supersedes all prior representations, negotiations, and understandings.
2.2 The Exhibitor expressly confirms that it has not relied upon any representation not expressly set out herein.
2.3 No variation shall be effective unless in writing and issued by the Organiser.
3. GOVERNING LAW & EXCLUSIVE JURISDICTION
3.1 This Agreement shall be governed by Singapore law.
3.2 The Parties irrevocably submit to the exclusive jurisdiction of the Singapore Courts, including the State Courts and High Court, as applicable.
4. PAYMENT TERMS (LIQUIDATED CONTRACTUAL DEBT)
4.1 Nature of Debt
All sums payable under this Agreement constitute liquidated, due and payable contractual debts, enforceable upon invoice issuance. The obligation to pay is absolute, unconditional, and independent of performance, attendance, sales, or commercial outcome.
4.2 Payment Structure
Unless otherwise agreed in writing:

(a) terminate participation immediately;
(b) accelerate all outstanding sums to immediate due status;

4.4 Interest
Overdue sums shall accrue interest at 5% per week, compounded monthly, from the due date until full payment.
4.5 No Set-Off / Chargeback
All payments shall be made in full without set-off, counterclaim, deduction, withholding, or chargeback. Any attempt shall constitute repudiation and material breach.
4.6 Recovery of Legal Costs (Indemnity Basis)
The Exhibitor shall indemnify the Organiser for all enforcement costs, including:

5. OPERATIONS, PERFORMANCE & BREACH FRAMEWORK
5.1 Mandatory Operating Hours
The Exhibitor shall operate continuously from 11:00 AM to 9:00 PM daily.
Failure to operate constitutes a material breach.
5.2 Set-Up and Dismantling
Penalty: SGD 1,000 per breach
5.3 Booth Non-Operation
Failure to operate during event hours:
Penalty: SGD 500 per occurrence
5.4 Abandonment
Any abandonment (including withdrawal, non-operation, partial dismantling, or refusal to operate) shall constitute:

The Exhibitor shall fully indemnify the Organiser against all claims, losses, liabilities, damages, and expenses arising from participation or breach, including legal costs on a full indemnity basis.
7.2 Limitation of Liability
The Organiser shall not be liable for:

8. ENFORCEMENT, BLACKLISTING & FINALITY

The Organiser may permanently bar or blacklist the Exhibitor from current or future events at its sole discretion. Such decision shall be final and non-reviewable.
8.2 Enforcement Costs
All enforcement costs shall be recoverable as contractual debt, including:

9. FINAL DECLARATION (LEGAL ADMISSION CLAUSE)
The Exhibitor acknowledges and agrees that:
(a) this Agreement is legally binding under Singapore law;
(b) it assumes full legal and financial responsibility;
(c) it waives reliance on all external representations;
(d) it accepts enforcement through Singapore Courts including summary judgment procedures; and
(e) it consents to all remedies, including injunctive relief and debt recovery actions.

4.2 Payment Structure
Unless otherwise agreed in writing:
- Promotional Exhibition Packages shall require 100% upfront payment within three (3) days from the invoice issued date upon confirmation. All payments made are strictly non-refundable.
- Standard Exhibition Bookings shall require a 50% non-refundable deposit upon confirmation, with the remaining balance payable no later than fourteen (14) days prior to the commencement of the Event. Exhibitors may alternatively opt for full payment upon confirmation.
- For bookings made within thirty (30) days prior to the Event commencement date, full payment (100%) shall be required upon confirmation.
4.3 Default and Acceleration
Any failure to pay shall constitute a repudiatory and material breach, entitling the Organiser to:
(a) terminate participation immediately;
(b) accelerate all outstanding sums to immediate due status;
(c) refuse entry or revoke booth access;
(d) recover all sums as a civil debt claim; and
(e) commence legal proceedings including writ of summons and summary judgment applications.
4.4 Interest

- solicitor-client costs (full indemnity basis)
- debt recovery agency fees
- tracing and investigation costs, and court filing fees
- enforcement execution costs (including writs of seizure and sale)
- bankruptcy or winding-up proceedings (where applicable)
4.7 Security Deposit (Without Prejudice Rights)
The Organiser may require a security deposit. The Exhibitor agrees that:
- the deposit may be applied or forfeited at the Organiser’s sole discretion
- no prior notice is required
- deductions shall be final and binding
- the Organiser retains the right to claim further damages in addition to the deposit
4.8 No Refund Clause
All payments are strictly non-refundable except where expressly agreed in writing.
5. OPERATIONS, PERFORMANCE & BREACH FRAMEWORK
5.1 Mandatory Operating Hours
The Exhibitor shall operate continuously from 11:00 AM to 9:00 PM daily.
Failure to operate constitutes a material breach.
5.2 Set-Up and Dismantling
- Set-up: from 3:00 PM one day prior
- Tear-down: must be completed by 11:00 PM on final day
- Early dismantling is strictly prohibited unless written approval is granted
Penalty: SGD 1,000 per breach
5.3 Booth Non-Operation
Failure to operate during event hours:
Penalty: SGD 500 per occurrence
5.4 Abandonment
Any abandonment (including withdrawal, non-operation, partial dismantling, or refusal to operate) shall constitute:
- repudiatory breach
- immediate termination right
- right of re-entry and repossession of booth space
- forfeiture of all payments made
5.5 Strike System
The Organiser may enforce:
- 1st breach: written warning
- 2nd breach: final warning + penalty
- 3rd breach: immediate removal, forfeiture of rights, and blacklisting
6. TERMINATION & INJUNCTIVE RELIEF
6.1 Immediate Termination
The Organiser may terminate this Agreement immediately without notice in the event of:
- non-payment
- fraud or misrepresentation
- misconduct or disruption
- safety breaches
- abandonment
- breach of any term
6.2 Injunctive Relief (Equitable Remedies)
The Exhibitor acknowledges that monetary damages may be insufficient for breach involving:
- booth occupation without compliance
- interference with event operations
- unauthorised continued presence
- reputational or operational disruption
- injunction restraining continued occupation of booth space
- injunction preventing interference with Event operations
- mandatory injunction requiring immediate vacation of premises
6.3 Debt Recovery Proceedings
The Organiser is entitled to commence:
- Writ of Summons
- Application for Summary Judgment (Order 14 / Order 9 Rules of Court 2021 framework)
- Default judgment proceedings where applicable
- Enforcement proceedings including seizure, garnishee, or winding-up actions
6.4 Post-Termination Liability
Termination shall not prejudice the Organiser’s rights to recover:
- outstanding sums
- damages
- interest
- legal costs
- enforcement costs
7. LIABILITY, INDEMNITY & RISK ALLOCATION

The Exhibitor shall fully indemnify the Organiser against all claims, losses, liabilities, damages, and expenses arising from participation or breach, including legal costs on a full indemnity basis.
7.2 Limitation of Liability
The Organiser shall not be liable for:
- sales performance
- profit loss
- low visitor traffic
- business outcomes
- commercial expectations or projections
7.3 Force Majeure
Neither Party shall be liable for failure due to events beyond reasonable control including acts of God, government restrictions, pandemics, or disasters.
8. ENFORCEMENT, BLACKLISTING & FINALITY

EXHIBITOR INFORMATION
(Event Operations, Facilities, Compliance & Commercial Terms)
This Exhibitor Information forms an integral part of the Exhibitor Agreement and outlines the operational requirements, facilities, rules, and compliance obligations applicable to the Event. Exhibitors are advised to refer to the Exhibitor Guide for full details, regulations, and additional compliance requirements.
1. GENERAL INFORMATION
1.1 Booth Entitlements
Each Exhibitor shall be provided with a standard booth package, including:
Power Supply:
Shared Facilities (Food Vendors):
Raw Space
The Exhibitor engaging non-official contractors must obtain prior written approval from the Organiser and comply with all booth design, safety, and venue regulations. Carpeting is mandatory, and no drilling or fixtures on the venue premises are permitted. The Exhibitor shall be liable for any damages caused.
Take Note
The Exhibitor shall not paint, write, drill, nail, staple, or affix any materials onto the panels, structures, or fittings of the standard shell scheme booth. The use of adhesive materials or substances that may damage, stain, or deface the booth panels is strictly prohibited.
The Exhibitor shall be fully liable and responsible for any damage, defacement, or loss caused to the booth structure, exhibition premises, or the property of the Official Stand Contractor arising from the Exhibitor’s actions, negligence, or non-compliance. The Organiser reserves the right to recover all repair, reinstatement, and replacement costs from the Exhibitor.
1.2 Additional Chargeable Services
The following services are not included in the standard booth package:

1.4 Exhibitor Badges
The Exhibitor shall register with the Organiser upon arrival at the Exhibition Venue for the issuance and collection of Exhibitor badges. Exhibitor badges shall remain the property of the Organiser and must be worn and displayed prominently by all authorised personnel at all times within the Exhibition Premises. The Organiser reserves the right to deny entry to any individual not in possession of a valid Exhibitor badge.
1.5 Payment Terms
All sums payable under this Agreement shall be strictly non-refundable, whether paid in part or in full, unless otherwise expressly agreed in writing by the Organiser. The Organiser reserves the absolute right to withhold booth possession, exhibitor badges, utilities, marketing benefits, access rights, and/or participation privileges in the event of any outstanding payment, late payment, or breach of the agreed payment terms.
1.6 Singapore Food Agency (SFA) Compliance
The Exhibitor preparing, sampling, or selling food and beverages shall be solely responsible for obtaining all required SFA licences, permits, and approvals, and must comply with all applicable regulations and safety requirements. The Organiser shall not be liable for any non-compliance by the Exhibitor.
1.7 Prohibited & Flammable Materials
The possession, storage, display, handling, or use of any flammable, explosive, hazardous, or dangerous substances or materials, including but not limited to LPG cylinders, gas cylinders, petrol, gasoline, and open flames, is strictly prohibited within the Exhibition Premises unless prior written approval has been obtained from both the Organiser and the relevant authorities. The Organiser reserves the right to remove any prohibited items immediately without compensation or liability.
1.8 Promotional Activities
All promotional, advertising, sampling, and sales activities shall be confined within the Exhibitor’s allocated booth space. Any unauthorised activity outside the designated area may be terminated by the Organiser without prior notice.
1.9 Display, Advertising & Intellectual Property
The Exhibitor shall be solely responsible for obtaining all necessary licences, permits, and approvals for any copyrighted materials, trademarks, music, videos, images, advertisements, or intellectual property used during the Exhibition, and shall indemnify the Organiser against any claims or legal liabilities arising from such use.
2. MARKETING & MEDIA
2.1 Marketing Submission Requirements
The Exhibitor shall submit all required marketing materials within the stipulated deadlines. Failure to comply may result in exclusion from marketing exposure without liability on the Organiser. No guarantee is given for marketing placement, visibility, or commercial outcome.
2.2 Media Rights
The Exhibitor irrevocably grants the Organiser full rights to capture, use, reproduce, and distribute photographs, video recordings, and other media featuring the Exhibitor, its personnel, products, or booth activities. Such materials may be used for marketing, promotional, and commercial purposes across all platforms without further notice, approval, or compensation.
2.3 Promotional Items & Free Gifts
The Exhibitor may distribute promotional materials, samples, and free gifts strictly within their allocated booth space only.
2.4 Lucky Draws & Games of Chance
The Exhibitor conducting lucky draws, games of chance, or promotional activities involving prizes or cash rewards must obtain all necessary approvals and licences from the relevant authorities and the Organiser prior to the Event.
2.5 Public Music & Entertainment Licensing
The Exhibitor using music, videos, audio, or entertainment content shall be solely responsible for obtaining all necessary licences and approvals from the relevant licensing authorities. The Organiser shall not be liable for any infringement or legal claims arising from such usage.
3. LEGAL PROTECTION & LIABILITY
3.1 Insurance Requirement
The Exhibitor shall maintain valid insurance coverage throughout the Event, including public liability and other relevant coverage. Proof of insurance must be provided upon request. Failure to comply may result in removal from the Event without compensation or refund.
3.2 Indemnity
The Exhibitor shall fully indemnify and hold harmless the Organiser against all claims, losses, damages, liabilities, and expenses arising from participation or breach of this Agreement, including legal costs on a full indemnity basis.
3.3 Limitation of Liability
The Organiser shall not be held liable or responsible for any sales performance, loss of profits, low visitor turnout, business outcomes, commercial results, or any financial expectations and projections arising from participation in the exhibition. All participation is undertaken entirely at the Exhibitor’s own commercial risk and discretion.
3.4 Force Majeure
The Organiser shall not be liable for any failure or delay arising from events beyond reasonable control, including natural disasters, government restrictions, pandemics, or similar events.
4. CONDUCT & EVENT RULES
4.1 No Verbal Agreements
Only written terms issued by the Organiser shall be binding. No verbal, informal, or implied representations shall have any legal effect.
4.2 Conduct Requirements
The Exhibitor shall maintain professional conduct at all times. Any misconduct, harassment, threats, or disruption may result in immediate removal from the Event without compensation.
4.3 No Refund Policy
All payments made are strictly non-refundable unless expressly agreed in writing by the Organiser. Any attempt to circumvent this clause shall be deemed a breach.
5. BRAND & COMMERCIAL CONTROL
5.1 Booth Allocation & Zoning
The Organiser shall have full discretion over booth allocation, placement, and zoning. All decisions are final and binding. No claims or compensation shall arise from booth location or positioning.
5.2 Exclusivity
No exclusivity rights are granted unless expressly confirmed in writing by the Organiser. The Organiser may regulate or restrict competing exhibitors to maintain event balance and structure.
(Event Operations, Facilities, Compliance & Commercial Terms)
This Exhibitor Information forms an integral part of the Exhibitor Agreement and outlines the operational requirements, facilities, rules, and compliance obligations applicable to the Event. Exhibitors are advised to refer to the Exhibitor Guide for full details, regulations, and additional compliance requirements.
1. GENERAL INFORMATION

Each Exhibitor shall be provided with a standard booth package, including:
- Shell scheme booth (2.5m height partition) with needle-punch carpet
- Aluminium framed fascia board with company’s name & booth number
- 3 x exhibitor passes
- 1 x information desk
- 2 x chairs
- 1 x recycle bin
- 2 x fluorescent lights
Power Supply:
- 1 x 13-amp standard power supply
- 1 x 15-amp (food vendors only)
Shared Facilities (Food Vendors):
- 1 x wash basin per 2 food vendors
Raw Space
The Exhibitor engaging non-official contractors must obtain prior written approval from the Organiser and comply with all booth design, safety, and venue regulations. Carpeting is mandatory, and no drilling or fixtures on the venue premises are permitted. The Exhibitor shall be liable for any damages caused.
- No booth structure shall exceed four (4) metres in height unless prior written approval has been obtained from the Organiser and venue owner. Any proposed structure exceeding the permitted height limit shall be subject to review and approval on a case-by-case basis.
- The Exhibitor engaging custom booth construction shall submit detailed design drawings and documents for approval, including but not limited to floor plans, dimensions, elevations, layout plans, electrical fittings, materials to be used, equipment to be displayed, together with a Risk Assessment and Method Statement prepared by the appointed stand contractor.
- The Exhibitor shall ensure that its appointed contractor fully complies with all Rules & Regulations stated in the Exhibitor Information and Exhibitor Manual, and all applicable safety requirements.
- For safety and compliance purposes, all electrical, water, gas, and pipe installations shall be carried out exclusively by the Official Contractor appointed by the Organiser. All booth designs, structures, and constructions shall be subject to the prior written approval of the Organiser and the venue owner.

The Organiser shall not be liable for any non-compliance by the Exhibitor.
1.7 Prohibited & Flammable Materials
The possession, storage, display, handling, or use of any flammable, explosive, hazardous, or dangerous substances or materials, including but not limited to LPG cylinders, gas cylinders, petrol, gasoline, and open flames, is strictly prohibited within the Exhibition Premises unless prior written approval has been obtained from both the Organiser and the relevant authorities. The Organiser reserves the right to remove any prohibited items immediately without compensation or liability.
1.8 Promotional Activities

2. MARKETING & MEDIA

2.3 Promotional Items & Free Gifts
The Exhibitor may distribute promotional materials, samples, and free gifts strictly within their allocated booth space only.
2.4 Lucky Draws & Games of Chance
The Exhibitor conducting lucky draws, games of chance, or promotional activities involving prizes or cash rewards must obtain all necessary approvals and licences from the relevant authorities and the Organiser prior to the Event.
2.5 Public Music & Entertainment Licensing
The Exhibitor using music, videos, audio, or entertainment content shall be solely responsible for obtaining all necessary licences and approvals from the relevant licensing authorities. The Organiser shall not be liable for any infringement or legal claims arising from such usage.
3. LEGAL PROTECTION & LIABILITY
3.1 Insurance Requirement
The Exhibitor shall maintain valid insurance coverage throughout the Event, including public liability and other relevant coverage. Proof of insurance must be provided upon request. Failure to comply may result in removal from the Event without compensation or refund.
3.2 Indemnity
The Exhibitor shall fully indemnify and hold harmless the Organiser against all claims, losses, damages, liabilities, and expenses arising from participation or breach of this Agreement, including legal costs on a full indemnity basis.
3.3 Limitation of Liability
The Organiser shall not be held liable or responsible for any sales performance, loss of profits, low visitor turnout, business outcomes, commercial results, or any financial expectations and projections arising from participation in the exhibition. All participation is undertaken entirely at the Exhibitor’s own commercial risk and discretion.
3.4 Force Majeure
The Organiser shall not be liable for any failure or delay arising from events beyond reasonable control, including natural disasters, government restrictions, pandemics, or similar events.
4. CONDUCT & EVENT RULES
4.1 No Verbal Agreements
Only written terms issued by the Organiser shall be binding. No verbal, informal, or implied representations shall have any legal effect.
4.2 Conduct Requirements
The Exhibitor shall maintain professional conduct at all times. Any misconduct, harassment, threats, or disruption may result in immediate removal from the Event without compensation.
4.3 No Refund Policy
All payments made are strictly non-refundable unless expressly agreed in writing by the Organiser. Any attempt to circumvent this clause shall be deemed a breach.
5. BRAND & COMMERCIAL CONTROL
5.1 Booth Allocation & Zoning
The Organiser shall have full discretion over booth allocation, placement, and zoning. All decisions are final and binding. No claims or compensation shall arise from booth location or positioning.
5.2 Exclusivity
No exclusivity rights are granted unless expressly confirmed in writing by the Organiser. The Organiser may regulate or restrict competing exhibitors to maintain event balance and structure.
